Dear fellow members and the BOT,ISOC bye-laws may have provided a METHOD of taking decisions for the BOT, which is enabling the BOT decisions.
Yet, when important and key decisions have to be made, please obtain consensus from the Chapters and the ISOC Alumni.Becasue, most often Board decisions follow consensussed opinions.
BOT has a limited tenure but the decisions have a far reaching impact.

 The board is my boss.  They can fire me, and they can direct me not to do things, just like any boss can.  If, however, you are in a situation where the board is effectively telling the CEO what to do as part of his/her duties, then you have a broken arrangement.  There's a reason we separate board issues from staff issues, and it is precisely so that the board is not trying to do (as a collective) what is better handled by a single individual who can delegate the operational responsibility.
