The Chapter Advisory Council Steering Committee (ChAC-SC) is submitting the
following advice for your consideration:



   1. Advice 2020.04.17-01 :: Second Advice on PIR Sales to Ethos Capital

      - *Advice*: *“We reiterate that the sale of PIR to Ethos Capital
      should not proceed until, unless proscribed by law, the following
      conditions are met, and the ISOC Board has taken into account
the comments
      received after the information requested below is made public”*

      - Approved by 68% of the 73 chapters that participated
   2. Advice 2020.04.17-02 :: Second Advice on

   Constituencies Consultation

   - *Advice*: *“Initiate a process to change the ISOC Bylaws so that the
      current communities that elect Trustees (that is, the Organizational
      Members, the Chapters, and the IETF) are considered as constituencies and
      so that they must be consulted prior to any major financial and
      strategically significant operational decisions being taken ”*

      - Approved by 89% of the 73 chapters that participated
      3. Advice 2020-04-17-03 ::Second Advice on Bylaws Changes

   - *Advice*: *“We reiterate that the Board charters a small group
      comprised of members of the Board and members of the Advisory Committees
      (ACs) to consider possible changes to ISOC’s Bylaws that would strengthen
      the roles of the ACs in general and the Chapters in particular.”*

      - Approved by 90% of the 73 chapters that participated


A total of 73 chapters (68% of 107 with assigned delegates or 58% of 126
active) participated in the vote call during the period 21 April 2020 to 28
April 2020, inclusive. The vote was quorate by 384% (73/19).
