[Chapter-delegates] Working Group on Governance

Dear Chapter Leaders,
the ISOC board looks forward to receiving additional advice from the Chapter Advisory Council. This kind of feedback from the Chapters community is taken very seriously, as is the feedback we receive from other ISOC communities.
Some of the proposals in the advice currently under consideration by the Chapter Advisory Council would have wide-ranging implications for the Internet Society's governance and its future. These proposals, if implemented, would impact not only our Chapters, but also the two other communities who appoint Trustees: Organizational Members and the IETF.
The proposals also suggest a number of changes which would first require legal review to ensure that legal and regulatory compliance issues, as well as conflict-of-interest issues, continue to be minimized consistent with our applicable legal and fiduciary obligations.
Given the scope of the proposals and the implications for the whole of the Internet Society and its communities, the board has decided to create a Working Group to review the advice and produce a report with recommendations to be developed by consensus. The Working Group will be comprised of members and representatives of the board, the Chapters, the Organizational Members, and the IETF community. We will consult with each community, soon, regarding an appropriate democratic process for the selection of Working Group members.
