[Chapter-delegates] Follow-up: Serious considerations to dissolve the Cambodia ISOC Chapter

To the readers of the Chapter-delegates list, for whom I want to clarify 
some elements of past history - here I take up a point made several 
times on this list, though not always with the same words:

Our Charter says:

The Charter was established in a lengthy process of correspondence with 
"ISOC global" - I use this expression well aware of the questions which 
also had been raised on this list:

    Ted,
    you mention "ISOC Global" term. I think, today it is very important
    for all ISOC Chapters to understand  what it is -  "ISOC Global".
    Options: It is the management of US based NGO.
    It is a  the Board of Directors of an International organization.
    It is a the Board of Directors of US based NGO
    It is something new, which was not exists, with new rules.
    Other understandable descriptions.

During this process we also faced the dilemma resulting from the 
following section of the proposed Bylaws:

    *Article XI. - Amendment and Voting Procedures*

     1.

        All proposed changes to these Chapter Bylaws shall have been
        approved by the Internet Society (International) before being
        presented to the Chapter membership for a vote.

We had to tell our members, while calling them to vote on the Bylaws, 
that any changes they may propose, might delay the adoption of the 
Bylaws for another year until the next Annual General Meeting. In the 
discussion at that time, it was obvious that the Chapter membership was 
only "free" to approve the existing draft "approved by the Internet 
Society (International)" - or risk another long delay.

It would probably have been difficult also to explain - had we been able 
to proceed with the registration procedures according to the laws of 
Cambodia - that we are, as the ISOC Cambodia Chapter, really an 
independent organization under the control of our own governing structure.
