I can't resist stepping in here. :-)

The role of the BoT is:
- governance
- strategy
both of which are reliant on working effectively in tandem with senior
management of ISOC - in particular its CEO.

It is the CEO who is ultimately responsible for defining the roles and
supervising the staff. The BoT has the responsibility to hire and, within
the terms of the contract, if necessary, to fire the CEO.

A productive and capable CEO and BoT will work effectively with
stakeholders to ensure this is the best it possibly can be. I hope that is
what I am doing here. :-)
