to provide a vehicle for tax-free donations in the US. The thinking,
as I gather, of the board is that - having little or no prospect of gaining
major funding - there is no further purpose for keeping it up. However, if
OWD is to continue, at some point the need for a 501(c)3 will inevetibly
re-occur. It would be a lot simpler just to continue with the existing one.

Here at ISOC-NY we have the experience that we formed as a 501(c)3 in the
late 90s but only in the last couple of years have any significant funds
passed through our books. Sometimes these things take time. If OWD Inc
should actually fold - ISOC-NY could, in fact, act as a fiscal sponsor and
pass through funds.
