[Chapter-delegates] Final Call for Input on the Chapter Charter Agreement (Deadline: 15 September)

Dear colleagues,

Many thanks for the contributions so far. ISOC Switzerland agrees with 
much of what has been raised, and we will send a fuller response in the 
next few days.

For now, we would like to raise one point that does not appear to have 
been mentioned yet (apologies if we missed it): the Dispute Resolution 
clause at the end of the Terms and Conditions.

1. The wrong rules are cited. The clause refers to the "ICOM-WIPO 
Mediation Rules." WIPO developed these with the International Council of 
Museums specifically for art and cultural heritage disputes. We assume 
that the general WIPO Mediation Rules were intended. Correcting the 
reference would avoid any procedural confusion.

2. There is no governing law. The agreement does not specify which law 
applies. Naming Geneva as the place of arbitration determines where the 
arbitration takes place, but not the substantive law governing the 
agreement. We suggest adding a governing-law clause, which should also 
clarify that each chapter's internal governance remains subject to its 
own applicable local law.

3. Under WIPO's published fee schedule for arbitration under the WIPO 
Arbitration Rules, the claimant pays a USD 2,000 registration fee and a 
USD 4,000 administration fee (also applicable to non-monetary disputes), 
before arbitrator fees (indicatively USD 300–600 per hour, with deposits 
shared equally) and legal costs. A chapter contesting a de-chartering 
would therefore face at least USD 6,000 upfront. We, as most chapters, 
are run by volunteers and could not realistically afford to use this 
mechanism. For a chapter of our size, these costs would be 
disproportionate. We suggest establishing a reasonable cap on the costs 
borne by a chapter in any dispute with the Internet Society, with costs 
above that cap covered by the Internet Society .

4. Link to the appeal process. The draft should explain how arbitration 
relates to the appeal process under ISOC's Bylaws. Ideally, chapters 
would have access to a free internal appeal step before resorting to 
arbitration.

If the new Charter is meant to rest on trust, chapters need a fair and 
affordable way to resolve disagreements.
