[Chapter-delegates] Final Call for Input on the Chapter Charter Agreement (Deadline: 15 September)

since many other Chapters are sharing their input to the consultation,
please be so kind to find the comments that were contributed by the UK
Chapter.
All comments were drafted as a group effort by the UK Chapter Executive
Committee.

*Response to the Chapter AC consultation on proposed changes to the ISOC
Chapter Agreement.*
Prepared by Olivier Crépin-Leblond with the expressed input from the UK
Chapter Executive Committee.
Summary
After carefully reviewing the proposed Chapter Agreement, the UK Chapter
leadership find some significant problems which would pose significant
barriers to the UK Chapter of the Internet Society in remaining a
Chapter, both legally and operationally. Furthermore some of the
proposed amendments go completely against the notion of bottom up,
multistakeholder and the Global nature of the Internet by imposing
national borders that go against the very foundational principles of the
Internet Society.
Throughout our response we use "Internet Society" as defined in the
Chapter Charter Agreement. We use "ISOC UK Chapter" or "UK Chapter"
interchangeably as the Internet Society UK Limited, a private Company
limited by guarantee that acts as the official UK Chapter for the
Internet Society.
Enclosed is a list of the Articles and our comments:
A. Chapter Obligations
3.c Define leadership roles that include the equivalent of a chair, a
secretary and a treasurer. No individual may occupy more than one of
these three leadership position at any time.

ISOC UK Response: Whilst we agree with this principle, the inclusion of
such details in a Chapter Agreement to make-up the leadership of a
Chapter reads more like a top-down control of a local Chapter rather
than a bottom-up support of the Internet Society by a Chapter. The legal
reason for the Internet Society to require this from a Chapter is weak.
3.d Ensuring authentic representation and deep connection to the local
community by requiring the Chapter’s elected officers and board members
to be primary residents of the Territory during their term of office
------------------------------------------------------------------------
ISOC UK Response: Since 1998, the UK Chapter has been dependent on
individuals providing their free time to Internet Society UK activities,
in which young people, active people and retired people are highly
mobile. The very membership of our Chapter consists of a large number of
people that travel around the world, sometimes in the UK for a limited
proportion of their time (students, people on company placements), and
often residing in other European countries (Retired individuals, for
example). Some of our most active members and leaders are constantly on
the road, specifically because being active in Internet Governance space
requires them to travel. Their primary place of residence, as defined by
tax laws in the absence of a definition for "primary residents", chosen
for whatever reason they have, has nothing to do with their participation.
This Clause also goes directly against one of the foundational values
that the Internet Society has had since its inception which is that the
Internet is not bound by national boundaries - it is global.
The UK Chapter therefore opposes the inclusion of such Clause in the
Chapter Agreement.
3.g Insuring Chapter meetings are held only in places/forums that are
open and accessible to all members of the Internet Society

ISOC UK Response: This Clause, whilst seemingly being something the UK
Chapter could support in theory, is actually flawed.
Chapter meetings also take place online using Zoom or other remote
participation tools thus this Clause would need to be amended to
in-person meetings only.
The second problem with this Clause relates to accessibility. Only
larger and more expensive venues in London and other main cities in the
UK ensure full accessibility and many of them are vastly outside our
budget. We often have to resort to smaller venues, some of which, like
pubs, have access restrictions.
The third problem with this Clause relates to meetings the UK Chapter
holds in restricted places. For example, a meeting sponsored by a third
party like a firm, will require registration and pre-vetting of
participants. The same restriction happens in meetings taking place in
Parliamentary locations. This Clause would have stopped us from
organising the Parliament Meets Internet event at Portcullis House that
included the IETF, as well as the IETF/ISOC UK event "How do we build
trust between engineers and politicians in securing the Internet of
Things (IoT)?" event at the House of Lords, both of which were very high
profile but necessitated restrictions and required explicit invitations.
This whole article should be amended to include "to the best effort".
4.c In the event of proposed changes to any Governance Documents, draft
copies of the proposed changes and associated rationale. The Chapter
shall not adopt any changes to Governance Documents without ISOC’s prior
approval

ISOC UK Response: In UK Company Law, the Directors and Persons of
Significant Control have the final say and responsibility into the
running of an organisation including its legal instruments. Clause 4.c
elevates the Internet Society's control of Chapter Governance that risks
being deemed as shadow directors, which would infer legal risks and
responsibilities to be borne by the Internet Society itself, which
includes Insolvency Liability, Disqualification, Fiduciary Duties and
Insurance Gaps.
The UK Chapter objects to such control especially where legal separation
between the UK Chapter and the Internet Society is weakened.
Unless the Internet Society is ready to assume full legal liability for
the UK Chapter, the Internet Society could provide its approval in only
material changes that may have implications for ISOC UK Chapter general
rules but specifically excluding Company Articles, Membership Terms,
Liability etc.
Article 5 - Commit to strong Chapter health, resilience, and impact.This
includes:
------------------------------------------------------------------------
ISOC UK Response: The UK Chapter objects to the use of the word "shall"
throughout this Article as this implies a command that is mandatory.
Chapters will, out of necessity, operate slightly differently and this
should be accommodated. Furthermore, being volunteer-led organisations,
everything Chapters do is best-effort due to resource limitations.
"Shall" would require significantly more resources and paid dedicated
staff with service level expectations working in the Chapter. Most
chapters do not have the resources for this. Unless the Internet Society
is ready to commit to bearing the full cost of more resources and staff,
"shall" cannot be used throughout this Article.
Another comment, specifically for Clause 5.a
5.a To promote strong Chapter health and community-centered vitality,
the Chapter shall cultivate active member engagement beyond its
leadership, operate with transparent governance, actively seek
**diversified local funding streams**, and maintain frequent, open
communication with ISOC;
------------------------------------------------------------------------
ISOC UK Response: Diversified Funding Streams are a desirable outcome,
but this cannot be a requirement for a Chapter. This is an aspirational
goal, but is again "best effort", especially if the Internet Society
itself has sought funding from organisations in the Territory itself
through the ISOC Foundation, which puts the Chapter at a disadvantage.
5.c To make meaningful impact, the Chapter shall deliver tangible
outcomes for the local Internet ecosystem (e.g., policy influence,
community capacity building), measuring success by the value and
influence created, rather than the mere volume of activities.

ISOC UK Response: this again links the Internet Society to the Chapter's
impact to the extent that the Chapter can be linked to the Internet
Society as a local tool used by the Internet Society to further its
goals. This level of detail in reporting to the Internet Society is both
unverifiable and intrusive as a "shall".
B. Internet Society Support
1.f If the Chapter receives funds or other support from ISOC or ISOC
Foundation, the Chapter shall comply with all requirements contained in
the applicable grant funding or other support agreement.

ISOC UK Response: this Clause is already contained in the grant funding
or other support agreement, thus has no place in the Chapter agreement
as it is a redundant duplication, unless it is an overarching Clause
that replaces any Clause in all of the other contracts.
The UK Chapter recommends that this Clause is removed.
C. Rejuvenation, Termination and De-Chartering
a. Rejuvenation.If the Chapter is not in compliance with the terms of
this Chapter Charter and has not received a written waiver from ISOC,
ISOC will grant a 3-month period to address the issues.In extreme cases
of misconduct and following written notification to the Chapter, ISOC
reserves the right to shorten or eliminate this three-month period. If
the Chapter has not resolved these issues, the Chapter will be placed in
“Rejuvenation” for up to 12 months. During this period, the Chapter will
be asked to take the necessary steps to resolve these issues. During a
rejuvenation period, (a) no grant funding will be available to the
Chapter and (b) the Chapter’s voting privileges shall be suspended.

ISOC UK Response: the UK Chapter objects to the part of the Clause
saying "In extreme cases of misconduct and following written
notification to the Chapter, ISOC reserves the right to shorten or
eliminate this three-month period" since "extreme cases of misconduct"
have not been legally defined. Such a Clause cannot be effected to an
undefined appreciation in which the Internet Society solely would define
what is an "extreme case".
Terms and Conditions
1. Legal Status and Chapter Independence
a. The Chapter shall operate as an independent entity with sole
authority over Chapter activities, governance, membership, funding, and
other matters. Consistent with this independence, (i) any public use of
Internet Society’s name or logo by the Chapter must clearly disclose the
full name of the Chapter; (ii) any contracts entered into by the Chapter
shall be made in the formal legal name of the Chapter; (iii) the Chapter
shall not act as agent for or on behalf of Internet Society or represent
or bind it in any manner without Internet Society’s prior written
approval; and (iv) all public positions and statements made by the
Chapter shall (a) not be contrary to public ISOC positions, (b) be
professionally prepared and/or reviewed, (c) clearly indicate that the
Chapter, as opposed to Internet Society, is the source of such public
positions or statements.
ISOC UK Response: we have an issue with "(iv) all public positions and
statements made by the Chapter shall (a) not be contrary to public ISOC
positions" whereas there are some cases where the Internet Society and a
Chapter positions might not be aligned (Ref. ISOC France Chapter action
against Facebook, 2018). There is also no way that a Chapter would know
the "official ISOC position". There is also an issue whereas a local
Chapter subjected to local jurisdiction would need to align with an
Internet Society position under US jurisdiction, a link that, as
mentioned above, includes liability issues.
We understand the idea behind this Clause, but it is not written
correctly and should include softer language or be removed altogether.
5. Limitation of Liability
ISOC UK Response: the limitation of liability Clause should be amended
to be fully reciprocal where a Chapter should bear no responsibility for
the Internet Society.
6. Amendments of Chapter Charter
ISOC UK Response: our requirement for this Clause remains what is was in
the previous Chapter Charter Agreement that included a footnote, namely:
This article will be interpreted in the following way as communicated to
the Chapters Advisory Council on 20th of November 2018: While the
Internet Society reserves the right to amend this Chapter Charter by
providing 90 days written notice to the Chapter for
purely administrative updates (such as changing the Internet Society's
postal address and similar), this would not happen without a
prior community consultation process for more substantive changes. Such
a process would involve the Chapter Advisory Council as well as the full
Chapter delegates (Chapter officers) as was done to develop the current
2018 version of the letter. In such a case, the Chapters would be
requested to sign the new version of the letter once finalized (which
would then supersede any earlier versions that were signed).
