[Chapter-delegates] Chapter Formation in Iraq

Thank you for your comments.

The NGO Directorate of the Iraqi government has terms and conditions for naming a not-for-profit organization, these terms are:


  1.  The names of the proposed organization should not include the following terms: (Iraqi, national, global, international, union, professions, crafts, scientific, syndicate, seminary, society, council, forum, association, center, farmers, fishing, cooperative, central).
  2.  The names of the proposed organization must include one of the following specializations: (agricultural, culture, democracy, economic development, education, environment, people with special needs, human rights, media, humanitarian aid, children and orphans, public health, public services, relief, youth, women’s affairs , art, sustainable development).
  3.  The name of the organization should be as follows: Organization + a clear proper noun that matches the specializations + one of the specializations.

The chapter forming group sent several names to the NGO directorate and this was the one that was accepted. They are open to suggestions for names that fall within the above-mentioned criteria.

The chapter will be a separate legal entity and will be referred to as Internet Society Iraq Chapter.

Yes, this is true.

That way of stating things was perhaps infelicitous (or perhaps some context has been cut).  Chapters _do_ have legal responsibilities to the Internet Society corporate body, within the scope of the engagement letter.  For instance, chapters promise as part of their engagement to do certain things (like hold elections for officers); and if they don't do them then the various chapter processes kick in (this includes, for instance, ineligibility for certain kinds of funding or eventual dechartering or so forth).

The main point I was trying to make in that message is that chapters are not legally a part of the Internet Society, but are independent legal entities.  This is not how chapters work in every organization.  For instance, in some cases, a "chapter" is really a branch office of the corporation itself.

On the matter of the name, I will observe that we do not have a requirement that the entity that is recognized as the chapter must be named "Internet Society $place chapter", and many chapter organizations have names that are not of the usual "chapter" form.
