[Chapter-delegates] Appointment of Olga's replacement on the Board

Hi,

Olga Cavalli's resignation as a Trustee creates a vacancy in the Board. Section 3 of the Bylaws (https://www.internetsociety.org/about-internet-society/governance-policies/by-laws/) governs how that vacancy needs to be filled.

Unfortunately, because this vacancy occurred after the call for nominations started, the Bylaws say we cannot simply use the election to fill the seat. Nevertheless, since the election is imminent, we think it would be appropriate to take guidance from that election. Accordingly, we will use the same method we used last year, when Mieke van Heesewijk stepped down. In that case, we used the runner-up candidate from the Organizational Members slate to appoint Heather West for one year. Similarly, the Board of Trustees plans to appoint the runner-up in the Chapters slate to fill this additional vacancy for a term of one year, and that Trustee seat will be up for election for the next term.  As it happens, that seat would be up for election at that time anyway, so this will restore all seats to their normal terms.
