ICANN indeed has a policy in which government officials or employees in
areas that shape policy cannot be Directors (it does leave room for
researchers and academics in public institutions.) That is due to the fact
that ICANN actually makes policy (in its technical-coordination role) that
becomes binding. Further: in 2003 we had an extensive reform of ICANN; we
analyzed whether the GAC should elect or appoint Directors to the Board and
the GAC itself concluded that no, they wouldn't, because it would make
government representatives subject to all the legal liabiliities of ICANN
in case of litigation.
For ISOC there isn't an explicit rule like that. What we do need to observe
is whether a Trustee elected by the chapters is independent enough. People
subject to their bosses' instructions for their participation in ISOC and
in the Board of Trustees are correctly present in the Advisory Council of
the Organizational Members. That is the healthy way in which ISOC brings
diverse and sometimes opposed stakeholders together. We would not do well
in breaking that balance.
There is also the option that a Trustee may have to recuse her/himself from
certain discussions in which she/he lack independence or are otherwise in
conflict of interest. It is preferable in general to avoid this situation
when it can be predicted. Many of us have seen it happen in other
organizations and get to a point that an elected Board member ends up
resigning, because the number of recusations makes him/her ineffective.
