[Chapter-delegates] Update on By-Laws revision

Hi.
Thanks for this email.

Several points on the chapters (Article IV and others):
- the chapters are still electing only 1/3 of the Board (as now), so no 
change there.
- The text says "Internet Society Chapters are groups organized by ISOC 
individual members" but that's not always the case. If that remains, no 
association, created by non-ISOC members, could ever apply for becoming 
a chapter. I am not sure what the language could be, but perhaps 
something should be changed here.
- There's reference that these chapters "are chartered according to the 
standards of performance", which will be defined by ISOC. Not sure that 
this is the case. In some countries the NGOs that are either chapters 
now, or might want to become one, might not be able to meet these 
standards (which may change as ISOC wishes) due to formal, legal reasons.
- I don't think the requirement that the chapters should be "formed for 
the expressed purpose of aggregating individual
member interests, expertise and creativity *in order to pursue *the ISOC 
mission."  Actually such a requirement immediately might lead to the 
chapter breaking some national laws. Why would a non-profit, or another 
type of legal body, founded in country X. be obliged to pursue the 
mission of a US-based non-profit?

I might have more, once I hear the comments on those.
