[Chapter-delegates] Resend of August 30 Request for Review and Comment on current proposed revisions to the By-laws

Dear All,
According to the Article IV:
"Internet Society Chapters are groups organized by ISOC individual
members (Article V) who share an interest and belief in the Society’s
principles and mission, acting according to the Society’s standards of
performance. "
I see here following problem:
Chapters are not Organizational Members, Organizational Members are
defined in the Article III.
But if Chapter is not an organization, it has not its By-Laws. In the
Comment EB 21 there is direct reference on "...chapter bylaws..." which
imply that chapter is an organization with ByLaws.
Better to have clear description what is it- Chapter? Is it an
organization with his ByLaws or it is not an organization. As you
understand, if there is no any organizations, there is no any ByLaws.
In our case any Armenian Chapter member at first must become ISOC
member, then this person can join our Chapter, which is an NGO with his
ByLaws. This is a serious problem for us, because here any citizen has
rights can join to any NGO without any preconditions (like at first
become ISOC member, then you will have rights to become Armenian
Chapter member).
Another problem is with the letter of Affiliation. Who will sign this
letter, if there is no any organization with ByLaws? And at the same
time - if Chapter members are ISOC members, why they need to confirm
once more their ISOC membership with an additional letter of Affiliation?
I think, correct definitions are very important in such important document.
