While the Articles of Incorporation may state the mission of the Society, it might be appropriate for the bylaws to state explicitly the Society's multi-stakeholder worldwide inclusive character as the basis for the structure that follows.
More thought also should be given to working with individual members who are unable (other than long distance) or not interested in joining a chapter.
I also suggest that commenters on the bylaws try in making their comments to keep in mind the unique role of the Society that has led to the IETF, the organizational members, and the chapters all having roles to play that then lie behind their rights to vote for the Trustees. What should and does unite us is the mission of the Society to protect and promote the Internet for the benefit of all -- but particularly the less advantaged of the world.
