James,
I think you're looking for a perfect solution when an imperfect
solution would work just fine.
We're not talking about electing a US president. We're just talking
about the ISOC community at large having a say in what ISOC does. Some
form of vote for each member, paying or not, is still the answer. And I
don't think it's over complicated.
