Its purpose is to provide a bottom-up channel through which Chapters can develop advice and recommendations, strengthen communication, and contribute collectively to matters affecting the Chapter community.</span></p>

Common themes are clearly emerging across jurisdictions: legal independence, proportionality, residency requirements, governance structures, administrative burden, volunteer capacity, reporting obligations, transition periods, transparency, and the distinction between aspirational objectives and binding contractual requirements.</span></p>

Chapters should be able to understand not only that their comments were received, but what common concerns emerged, how they were considered, and how they influenced the next iteration of the agreement.</span></p>

Matters of significant policy importance should ultimately be considered by the full ChAC, rather than being treated only as an administrative consultation process.</span></p>

the ISOC Chapter Agreement.</b><br>

Summary<br>
<br>
After carefully reviewing the proposed Chapter Agreement, the UK
Chapter leadership find some significant problems which would pose
significant barriers to the UK Chapter of the Internet Society in
remaining a Chapter, both legally and operationally. Furthermore
some of the proposed amendments go completely against the notion of
bottom up, multistakeholder and the Global nature of the Internet by
imposing national borders that go against the very foundational
principles of the Internet Society.<br>
<br>
Throughout our response we use "Internet Society" as defined in the
Chapter Charter Agreement. We use "ISOC UK Chapter" or "UK Chapter"
interchangeably as the Internet Society UK Limited, a private
Company limited by guarantee that acts as the official UK Chapter
for the Internet Society.<br>
<br>
<br>
Enclosed is a list of the Articles and our comments:<br>
<br>
A. Chapter Obligations<br>
<br>
3.c Define leadership roles that include the equivalent of a chair,
a secretary and a treasurer. No individual may occupy more than one
of these three leadership position at any time.

ISOC UK Response: Whilst we agree with this principle, the inclusion
of such details in a Chapter Agreement to make-up the leadership of
a Chapter reads more like a top-down control of a local Chapter
rather than a bottom-up support of the Internet Society by a
Chapter. The legal reason for the Internet Society to require this
from a Chapter is weak.<br>
<br>
3.d <a style="mso-comment-reference:
_1;mso-comment-date:20260914T1909"><span style="mso-comment-continuation:
2"><span style="mso-comment-continuation:3">Ensuring authentic
representation and deep connection to the local community by
requiring the Chapter’s elected officers and board members to
be primary residents of the Territory during their term of
office</span></span></a>

Response: Since 1998, the UK Chapter has been dependent on
individuals providing their free time to Internet Society UK
activities, in which young people, active people and retired
people are highly mobile. The very membership of our Chapter
consists of a large number of people that travel around the world,
sometimes in the UK for a limited proportion of their time
(students, people on company placements), and often residing in
other European countries (Retired individuals, for example). Some
of our most active members and leaders are constantly on the road,
specifically because being active in Internet Governance space
requires them to travel. Their primary place of residence, as
defined by tax laws in the absence of a definition for "primary
residents", chosen for whatever reason they have, has nothing to
do with their participation.<br>
<br>
This Clause also goes directly against one of the foundational
values that the Internet Society has had since its inception which
is that the Internet is not bound by national boundaries - it is
global.<br>
<br>
The UK Chapter therefore opposes the inclusion of such Clause in
the Chapter Agreement.<br>
<br>
3.g In<a style="mso-comment-reference:
_1;mso-comment-date:20260914T1910"><span style="mso-comment-continuation:
2"><span style="mso-comment-continuation:3">suring Chapter
meetings are held only in places/forums that are open and
accessible to all members of the Internet Society</span></span></a>

ISOC UK Response: This Clause, whilst seemingly being something
the UK Chapter could support in theory, is actually flawed.<br>
<br>
Chapter meetings also take place online using Zoom or other remote
participation tools thus this Clause would need to be amended to
in-person meetings only.<br>
<br>
The second problem with this Clause relates to accessibility. Only
larger and more expensive venues in London and other main cities
in the UK ensure full accessibility and many of them are vastly
outside our budget. We often have to resort to smaller venues,
some of which, like pubs, have access restrictions.<br>
<br>
The third problem with this Clause relates to meetings the UK
Chapter holds in restricted places. For example, a meeting
sponsored by a third party like a firm, will require registration
and pre-vetting of participants. The same restriction happens in
meetings taking place in Parliamentary locations. This Clause
would have stopped us from organising the Parliament Meets
Internet event at Portcullis House that included the IETF, as well
as the IETF/ISOC UK event "How do we build trust between engineers
and politicians in securing the Internet of Things (IoT)?" event
at the House of Lords, both of which were very high profile but
necessitated restrictions and required explicit invitations.<br>
<br>
This whole article should be amended to include "to the best
effort".<br>
<br>
4.c I<a style="mso-comment-reference:
_1;mso-comment-date:20260914T1912"><span style="mso-comment-continuation:
2">n the event of proposed changes to any Governance Documents,
draft copies of the proposed changes and associated rationale.

2"><span style="mso-comment-continuation:1">The Chapter shall not
adopt any changes to Governance Documents without ISOC’s
prior approval</span></span></span></a>

Response: In UK Company Law, the Directors and Persons of
Significant Control have the final say and responsibility into
the running of an organisation including its legal instruments.
Clause 4.c elevates the Internet Society's control of Chapter
Governance that risks being deemed as shadow directors, which
would infer legal risks and responsibilities to be borne by the
Internet Society itself, which includes Insolvency Liability,
Disqualification, Fiduciary Duties and Insurance Gaps.<br>
The UK Chapter objects to such control especially where legal
separation between the UK Chapter and the Internet Society is
weakened.<br>
<br>

the Internet Society is ready to assume full legal liability
for the UK Chapter, the Internet Society could provide its
approval in only material changes that may have implications
for ISOC UK Chapter general rules but specifically excluding
Company Articles, Membership Terms, Liability etc.<br>

Article 5 - </span><a style="mso-comment-reference:_1;mso-comment-date:
20260914T1344"><span style="mso-comment-continuation:2">Commit to
strong Chapter health, resilience, and impact.<span style="mso-spacerun:yes"> </span>This includes:</span></a>

UK Response: The UK Chapter objects to the use of the word
"shall" throughout this Article as this implies a command that
is mandatory.<br>
<br>
Chapters will, out of necessity, operate slightly differently
and this should be accommodated. Furthermore, being
volunteer-led organisations, everything Chapters do is
best-effort due to resource limitations. "Shall" would require
significantly more resources and paid dedicated staff with
service level expectations working in the Chapter. Most
chapters do not have the resources for this. Unless the
Internet Society is ready to commit to bearing the full cost
of more resources and staff, "shall" cannot be used throughout
this Article.<br>
<br>
Another comment, specifically for Clause 5.a<br>
<br>
5.a To promote strong Chapter health and community-centered
vitality, the Chapter shall cultivate active member engagement
beyond its leadership, operate with transparent governance,
actively seek <b><a style="mso-comment-reference:
_1;mso-comment-date:20260914T1343"><span style="mso-comment-continuation:
2">*diversifie</span></a><span style="mso-comment-continuation:
2">d </span>local funding streams*</b>, and maintain frequent,
open communication with ISOC;

UK Response: Diversified Funding Streams are a desirable
outcome, but this cannot be a requirement for a Chapter.
This is an aspirational goal, but is again "best effort",
especially if the Internet Society itself has sought funding
from organisations in the Territory itself through the ISOC
Foundation, which puts the Chapter at a disadvantage.<br>
<br>
5.c <a style="mso-comment-reference:
_1;mso-comment-date:20260914T1346"><span style="mso-comment-continuation:
2">To make meaningful impact, the Chapter shall deliver tangible
outcomes for the local Internet ecosystem (e.g., policy
influence, community capacity building), measuring
success by the value and influence created, rather than
the mere volume of activities.</span></a>

detail in reporting to the Internet Society is both
unverifiable and intrusive as a "shall".<br>

B. Internet Society Support<br>
<br>
1.f <a style="mso-comment-reference:_1;mso-comment-date:20260914T1347"><span style="mso-comment-continuation:2"><span style="color:
black"><span style="mso-list:Ignore"><span style="font:7.0pt "Times New Roman""> </span></span></span><span style="color:black">If the Chapter receives
funds or other support from ISOC or ISOC
Foundation, the Chapter shall comply with all
requirements contained in the applicable grant
funding or other support agreement</span></span></a><span style="mso-comment-continuation:2"><span style="color:black">.</span></span>

the grant funding or other support agreement,
thus has no place in the Chapter agreement as it

overarching Clause that replaces any Clause in
all of the other contracts.<br>
The UK Chapter recommends that this Clause is
removed.<br>

C. Rejuvenation, Termination and De-Chartering<br>
<br>
a. <span style="color:black">Rejuvenation.<span style="mso-spacerun:yes"> </span>If the
Chapter is not in compliance with the terms of
this Chapter Charter and has not received a
written waiver from ISOC, ISOC will grant a
3-month period to address the issues<a style="mso-comment-reference:_1;
mso-comment-date:20260914T1348"><span style="mso-comment-continuation:2">.<span style="mso-spacerun:yes"> </span>In
extreme cases of misconduct and following
written notification to the Chapter, ISOC
reserves the right to shorten or eliminate
this three-month period. </span></a>If
the Chapter has not resolved these issues, the
Chapter will be placed in “Rejuvenation” for
up to 12 months. During this period, the
Chapter will be asked to take the necessary
steps to resolve these issues. During a
rejuvenation period, (a) no grant funding will
be available to the Chapter and (b) the
Chapter’s voting privileges shall be
suspended.</span>

defined. Such a Clause cannot be effected
to an undefined appreciation in which the
Internet Society solely would define what
is an "extreme case".<br>

Terms and Conditions<br>
<br>
1. Legal Status and Chapter Independence<br>
a. The Chapter shall operate as an
independent entity with sole authority
over Chapter activities, governance,
membership, funding, and other matters.
Consistent with this independence, (i) any
public use of Internet Society’s name or
logo by the Chapter must clearly disclose
the full name of the Chapter; (ii) any
contracts entered into by the Chapter
shall be made in the formal legal name of
the Chapter; (iii) the Chapter shall not
act as agent for or on behalf of Internet
Society or represent or bind it in any
manner without Internet Society’s prior
written approval; and (iv) all public
positions and statements made by the
Chapter shall (a) not be contrary to
public ISOC positions, (b) be
professionally prepared and/or reviewed,
(c) clearly indicate that the Chapter, as
opposed to Internet Society, is the source
of such public positions or statements.<br>
<br>
ISOC UK Response: we have an issue with
"(iv) all public positions and statements
made by the Chapter shall (a) not be

there are some cases where the Internet
Society and a Chapter positions might not
be aligned (Ref. ISOC France Chapter
action against Facebook, 2018). There is
also no way that a Chapter would know the
"official ISOC position". There is also an
issue whereas a local Chapter subjected to
local jurisdiction would need to align
with an Internet Society position under US
jurisdiction, a link that, as mentioned
above, includes liability issues.<br>
We understand the idea behind this Clause,
but it is not written correctly and should
include softer language or be removed
altogether.<br>

5. Limitation of Liability<br>
<br>
ISOC UK Response: the limitation of
liability Clause should be amended to be
fully reciprocal where a Chapter should
bear no responsibility for the Internet
Society.<br>

6. Amendments of Chapter Charter<br>

ISOC UK Response: our requirement for this
Clause remains what is was in the previous
Chapter Charter Agreement that included a

Charter Agreement<br>

Dear all,<br>

The Chapter France has followed this thread closely and shares
the analyses expressed by the other chapters, as well as the
view that a real discussion among chapters is needed before the
text is consolidated. The Charter defines the terms of our
relationship with ISOC and the conditions under which our
volunteers work. It should not be finalised on the basis of
written comments alone.<br>
<br>
<b>We also want to state explicitly that we support all the
points raised by the UK Chapter. Their analysis matches our
own reading of the draft and we see no need to repeat it here</b>.
What follows are the additional points specific to our
situation.<br>
<br>
On the substance, we support the spirit of the revision. Moving
from compliance to community, from person-dependency to durable
systems, and from volume of activities to real impact reflects
what we believe a healthy chapter should be. <b>Our
reservations concern how these principles are translated into
binding obligations</b>.

<div>For example :<br>
<br>
<u>1. Residency of officers and board members</u> (Section
A.3.d)<br>
<br>
<b>We have reservations about a rule that would prevent
members from serving in the governance of a chapter outside
their country of residence</b>. Several of our members have
been involved in chapters on other continents, and that
involvement has been clearly beneficial on both sides:
transfer of experience, access to international networks, and
stronger links between chapters. <b>This is exactly the kind
of cross-chapter solidarity the Internet Society should
encourage, not close off</b>.<br>
<br>
We would suggest a more flexible formulation: for example,
apply the residency requirement to the key statutory positions
only, such as president and treasurer, and keep a defined
share of board seats open to non-resident members. This
preserves authentic local representation without losing
external contributors.<br>
<br>
<br>
<u>2. Administrative load and the reality of volunteer
capacity </u>(Sections A.4.a and B.1.f)<br>
<br>
This is our main concern, and we want to be precise about why.<br>
<br>
A chapter like ours does two kinds of work that cannot be
delegated or done casually.<br>
<br>
The first is policy work with public institutions. <b>In
France this means following legislative processes,
responding to public consultations, appearing before
regulators and parliamentary bodies, and producing written
positions that stand up to scrutiny</b>. This work runs on
external deadlines <b>that we do not control</b>, it requires
technical and legal expertise, and it requires continuity: an
institution takes seriously the organisation it sees
consistently over years, not the one that appears once. It can
only be done by <b>deeply committed volunteers who have built
that expertise and those relationships over time</b>.<br>
<br>
The second is the permanent link <b>between the local and the
international</b>. Carrying French positions into IGF,
EuroDIG, ICANN and ISOC global processes, and bringing those
discussions back to the national ecosystem, is one of the most
valuable things a chapter does. It also demands <b>sustained
presence and preparation from the same small group of people</b>.<br>
<br>
These two functions depend on a handful of volunteers whose
time is finite and already fully committed. The difficulty
with new reporting obligations is not that they are
unreasonable in themselves. It is that the people capable of
producing a serious qualitative report on impact, health and
resilience are exactly the same people capable of drafting a
consultation response or representing the chapter before a
regulator. <b>Every hour moved from the second activity to
the first is a direct loss of influence, and it is not
recoverable elsewhere</b>.<br>
<br>
We therefore ask that the new framework be designed under an
explicit effort constraint rather than an open-ended one: a
short annual format with a clear page or time budget, simple
templates provided by ISOC, full reuse of reporting already
produced for a specific grant with no duplication, and
qualitative evidence accepted in the form the chapter already
produces it, such as existing publications, positions and
event records. We would also ask that the capacity-building
commitment in Section B.1.a include support that reduces
administrative work, for example shared tooling and staff
assistance, rather than support that generates more of it.
Empowerment over oversight should be measurable in the volume
of paperwork, not only in the wording of the Charter.</div>

<br>
<u>3. Transition period</u><br>
<br>
Several provisions, notably term limits across all positions,
residency, and documented succession planning, would require a
<b>substantial rewrite of our statutes and bylaws. In France
that means a formal general assembly process, with the
associated legal drafting and lead time</b>.<br>
<br>
Beyond the legal work, meeting the <b>rotation requirements
also means recruiting and preparing enough members willing
to take board positions</b>. Building that pipeline is
exactly the kind of long-term work the Charter calls for, and
it cannot be improvised in a few months. We therefore ask for
a clearly defined transition period, decoupled from the entry
into force of the Charter, long enough for chapters to adapt
their bylaws and to develop the leadership base the text
expects.<br>

<br>
We remain available to contribute to the ChAC review and to
the co-creation of the evaluation criteria, and we would
welcome a live discussion among chapters before the draft
moves to its next stage.<br>

would like to briefly summarize the main
concerns that have emerged around the review of
the Chapter Charter Agreement.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">The
first concern relates to the process followed.
Before discussing a new agreement, it would be
important to have a clear and documented
explanation of why the current agreement needs
to be amended: what has worked, what has not,
which specific problems have been identified,
whether those problems arise from the agreement
itself or from its implementation, and which
body formally determined that a revision was
necessary.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">There
are also concerns regarding the transparency and
traceability of the consultation.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">Several
chapters have asked how contributions are being
recorded, whether comments submitted by chapters
can be seen by others, and how it will be
possible to know which observations were
accepted, rejected, or incorporated into the
next version of the text. A consultation may
collect many responses, but meaningful
participation also requires visibility into how
those responses actually influence the final
outcome.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">The
second concern relates to what a reform of the
agreement may imply in practice. Chapters are
independent organizations operating under very
different legal, institutional, economic, and
cultural frameworks. A requirement that may
appear reasonable in one jurisdiction may create
significant legal or administrative consequences
in another.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">Issues
such as residency requirements, term limits,
governance structures, reporting obligations,
definitions of “good standing,” chapter
autonomy, or alignment with Internet Society
positions may require changes to local bylaws,
legal registrations, or internal governance
arrangements. In some countries, these changes
require legal advice, formal approval
procedures, additional administrative work, and
significant costs.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">For
this reason, the concern is not opposition to
updating the agreement. The point is to ensure
that any reform is evidence-based,
proportionate, and sufficiently flexible to
respect the diversity and legal autonomy of
chapters.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">These
concerns are not limited to our chapter.
Representatives from Bulgaria, Slovenia, and
Israel have raised similar points, including
differences between national legal and cultural
environments, the cost and complexity of
changing bylaws, the need for greater
transparency regarding submitted comments, and
the importance of avoiding a single governance
model for all chapters.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">The
discussion during the 22 September ChAC meeting
appears to acknowledge several of these
concerns, particularly around residency, term
limits, governance flexibility, chapter
independence, administrative burden, and the
need to avoid unnecessary bylaw changes. This is
positive.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">However,
one fundamental question still deserves a clear
answer: what documented assessment of the
current Chapter Charter Agreement led to the
conclusion that it should be revised?</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">Clarifying
this point, together with establishing
transparent traceability between chapter
feedback and the second iteration of the
agreement, would significantly strengthen the
legitimacy and usefulness of the process.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">Finally,
there also appears to be insufficient follow-up
to the discussion itself. Questions are raised,
but in several cases the responses remain
ambiguous or are perceived as largely
predetermined, without fully addressing the
concerns expressed. This is precisely where the
quality of the consultation matters.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">A
consultation should not simply demonstrate that
a discussion took place. It should provide a
genuine opportunity for concerns to be
considered, answered clearly, and reflected in
the outcome. Otherwise, there is a risk that the
process is perceived as consultation in form,
but not in substance.</span></p>
<p style="margin:0px 0px 12px;font-style:normal;font-variant-caps:normal;font-size:20px;line-height:normal;font-family:"Times New Roman";font-size-adjust:none;font-kerning:auto;font-variant-alternates:normal;font-variant-ligatures:normal;font-variant-numeric:normal;font-variant-east-asian:normal;font-feature-settings:normal"><span style="font-kerning:none;font-family:"Times New Roman"">So
far, one of the few clear arguments we have seen
for revisiting the agreement is that it is eight
years old. Age alone, however, does not
necessarily justify reform. Chapters also need
institutional stability, and changes of this
importance should be supported by a clear
rationale, evidence, transparency, and a
demonstrated need.</span></p>
